This Annex describes how services are ordered, activated and changed under the Partner Agreement. It is intentionally generic and does not contain partner- or customer-specific fields.
1. Purpose of a Partner Order
- We supply services only where a valid Partner Order is in place.
- The Partner Order defines the commercial and operational parameters for specific services.
- The Partner Agreement and Schedules provide the overarching framework; the Partner Order supplies the detail.
2. Form of Partner Order
- A Partner Order may take the form of:
- a written order form;
- an electronic order or acceptance;
- a statement of work;
- a proposal or quotation you accept; or
- another format we agree with you.
- A Partner Order may refer to external documents, catalogues or schedules, including live service descriptions.
3. Minimum Content
- A Partner Order will typically specify, where applicable:
- services ordered;
- delivery model (reseller or white-label);
- pricing, discounts or commission;
- billing frequency and payment terms;
- service start date;
- minimum terms or notice periods;
- included service levels or priorities;
- any agreed changes to standard schedules.
- The absence of a particular item does not imply inclusion or entitlement.
4. Service Activation
- Services are activated after the Partner Order is accepted and the applicable onboarding requirements are completed.
- We may delay activation where prerequisites are not met.
- Activation dates are indicative and not guaranteed.
5. Changes to Services
- Services may be added, changed or removed by agreement through an updated or additional Partner Order.
- Changes may be subject to revised pricing, terms or lead times.
6. Order of Priority
- If there is a conflict between a Partner Order and the Partner Agreement or Schedules, the Partner Order prevails.
- If there is a conflict between multiple Partner Orders, the most recent takes precedence unless stated otherwise.
7. No Obligation to Order
- Nothing in the Partner Agreement obliges you to place any minimum volume of Partner Orders unless expressly agreed.
